Felix is a Counsel of TN Partners and the International Business Reorganisations Leader in Hong Kong. His practice focuses on advising private and public listed companies on mergers and acquisitions, disposals, joint ventures and international business reorganisations. Felix also provides clients with general corporate legal advice for their day-to-day operations, including advising on compliance matters under the Hong Kong Listing Rules.
Felix is recognised for demonstrating “strong capability in organising complex, multi-jurisdictional projects under tight deadlines” and providing “practical advice on a wide range of legal issues and is also attentive to potential legal risks in other jurisdictions” in testimonials collated by Legal 500.
Prior to joining the firm, Felix was at Reed Smith Richards Butler for five years. He qualified as a solicitor in New South Wales (Australia) in 2012 and in Hong Kong in 2015. He holds a double degree in Commerce (Finance) and Law from the University of New South Wales, Australia and PCLL from City University of Hong Kong. He is fluent in English, Mandarin and Cantonese.

- Advising on international business reorganisation projects, including legal feasibility assessment, implementation and project management; working closely with the clients’ tax and other professional advisors in Hong Kong and globally.
- Advising a Hong Kong based seller on a confidential business sale through a competitive bidding process, involving complex commercial considerations and developing bespoke solutions for the transfer of employees and assets in Hong Kong, Macau and the Chinese Mainland.
- Advising a luxury French sports brand on its e-commerce expansion in South East Asia as lead legal counsel, working closely with legal, tax and customs teams in relevant local jurisdictions.
- Advising an Australia listed supermarket chain on the disposal of its entire alcoholic drinks distribution business in the Chinese Mainland, Hong Kong and Macau.
- Advising a PRC based cosmetics group on its proposed acquisition of a majority equity stake in an Irish beauty products business from its founders and private equity investors.
- Advising an investor-group in an English football club on their investor and shareholder rights following the expiry of a nominee shareholder arrangement.
- Advising a Hong Kong based beauty products conglomerate on the equity sale of its German subsidiary holding a portfolio of beauty, skincare and cosmetics brands and intellectual property in the UK and Europe to an Italian purchaser.
- Advising a Hong Kong based asset management company on its proposed acquisition of a majority stake in a Japanese licensed bank in Hong Kong.
- Advising a Hong Kong based retail conglomerate on its successful licensing of a Japanese cakes and bakery business in Hong Kong.
- Advising the Hong Kong arm of a transnational water, waste and energy management company in relation to its acquisition of a 51% stake in a mechanical engineering business based in Hong Kong and Macau.
- Advising a Hong Kong listed property developer on its RMB6.2 billion discloseable acquisition of property interests in the Shenzhen Bay area from a connected person, triggering shareholders approval and independent financial advisor requirements.
- Advising a Hong Kong listed conglomerate on its disposal of its non-beer businesses to its state-owned parent company for an aggregate consideration of HK$30 billion. The transaction also involved a conditional special dividend of HK$29.8 billion, capital reduction of HK$10 billion and voluntary partial offer of approximately 20% of its issued shares for HK$6.15 billion, involving Listing Rules and Takeovers Code implications.
